LEGAL AGREEMENT

IMPORTANT -- READ THESE TERMS CAREFULLY BEFORE ACCEPTING THIS AGREEMENT AND ACCESSING AND USING THE INTERNATIONAL UNION LABORERS.COM/UNIONQUALIFIED.COM PROGRAM. BY CLICKING AND ACCEPTING THIS AGREEMENT AND ACCESSING AND USING THE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, THAT YOU UNDERSTAND IT AND THAT YOU AGREE TO BE BOUND BY ITS TERMS. YOU ACKNOWLEDGE AND AGREE THAT LABORERS.COM/UNIONQUALIFIED.COM MAKES NO REPRESENTATIONS AND IS NOT RESPONSIBLE FOR ANY DECISION MADE OR ACTION TAKEN BY A CONTRACTOR WHICH MAY HIRE YOU OR CONTACT YOU USING OR THROUGH THIS PROGRAM. IF YOU DO NOT AGREE, PROMPTLY EXIT THIS PAGE WITHOUT CLICKING AND ACCEPTING THE AGREEMENT OR ACCESSING OR USING THE PROGRAM

International Union Laborers.com/Union Qualified.com Program Agreement

This is a legal agreement between you ("Licensee") and International Union Laborers.com/ Union Qualified.com, Inc., a corporation organized under the laws of the State of Illinois ("LABORERS.COM/UNIONQUALIFIED.COM"), and is for access to and use of LABORERS.COM / UNIONQUALIFIED.COM's International Union Laborers.com/UnionQualified.com Program ("Program") for Licensee's personal use only. The Program includes access to data, databases, and information, all of which are confidential to LABORERS.COM/UNIONQUALIFIED.COM and made available to Licensee under the terms of this Agreement.

The parties agree as follows:

SCOPE OF THE AGREEMENT
    1.1 LABORERS.COM/UNIONQUALIFIED.COM has provided Licensee with appropriate passwords and identifications (collectively, "Passwords") necessary for Licensee to access and use the International Union Laborers.com/Union Qualified.com Program, including any and all data, databases, information, and any revisions, derivatives, improvements, or updates thereto (collectively, the "Program"). LABORERS.COM/UNIONQUALIFIED.COM shall provide these Passwords and such access for a period expiring upon the earliest of: (a) termination by Licensee providing notice to LABORERS.COM/UNIONQUALIFIED.COM of its desire to so terminate its access; or (b) upon termination by LABORERS.COM/UNIONQUALIFIED.COM pursuant to this Agreement ("Program Period"). Notwithstanding the forgoing, LABORERS.COM/UNIONQUALIFIED.COM may in its discretion program the Passwords to cease functioning automatically on a certain date. LABORERS.COM/UNIONQUALIFIED.COM may, at its sole discretion, provide reasonable assistance to and for Licensee in its access and use of the Program under this Agreement.
    1.2 During the Program Period, Licensee may access and use the Program to create and update a professional profile and to access meeting minutes and union news ("Licensed Purpose"). Licensee shall not use or distribute data, databases, information, or any revisions, derivatives, improvements or updates thereto or thereof, obtained through the Program, except as expressly permitted under this Agreement. Licensee shall not display the Program, data, databases, information, or any revisions, derivatives, improvements or updates thereto or thereof, obtained through the Program on any public bulletin board, file transfer protocol ('ftp') site, internet site, chat room, file sharing site, instant messaging service or any similar site or service, or by any other unauthorized means. Licensee shall not copy data, databases, information, or any revisions, derivatives, improvements or updates thereto or thereof, obtained using or through the Program for any reason, without the prior written consent of LABORERS.COM/UNIONQUALIFIED.COM.
    1.3 During the Program Period, Licensee will be assigned an International Union Laborers.com/UnionQualified.com ID number ("ID"). Licensee will create a professional profile and will provide personally-identifiable information such as Licensee's name, e-mail address, street address, and telephone number. Licensee may also provide other information, such as educational, trade or business degrees, languages spoken, certifications, union hall, apprenticeships and work history and experience. Licensees agrees that LABORERS.COM / UNIONQUALIFIED.COM may use this information in connection with the Program and may post Licensee's full name, union hall, and qualifications for contractors to view. LABORERS.COM/UNIONQUALIFIED.COM will not post or provide Licensee's address or other contact information to contractors. A contractor will have to contact LABORERS.COM/UNIONQUALIFIED.COM to get in touch with Licensee. Licensee warrants that it has all power and authority to provide this information to LABORERS.COM/UNIONQUALIFIED.COM and grant LABORERS.COM/UNIONQUALIFIED.COM the rights granted under this Agreement. Furthermore, Licensee grants LABORERS.COM/UNIONQUALIFIED.COM permission to use this information in connection with the Program. Licensee will be solely responsible for keeping Licensee's profile information current and up to date.
    1.4 Licensee hereby waives all rights and releases LABORERS.COM/UNIONQUALIFIED.COM from, and shall neither sue nor bring any proceeding against LABORERS.COM/UNIONQUALIFIED.COM for any claim or cause of action, whether now known or unknown, for defamation, invasion of right to privacy, publicity or personality, or any similar matter, or based upon or related to the use of Licensee's information, whether intentional or otherwise, that may occur in connection with the Program.

LICENSE TERMS AND CONDITIONS
    2.1 Each component part of the Program, including any and all data, databases, information, and any revisions, derivatives, improvements or updates thereto or thereof, is furnished to Licensee under a personal, non-exclusive, non-transferable, revocable, limited license for the Program Period under this Agreement solely for the Licensed Purpose.
    2.2 Except for ordinary and usual caching by Licensee's computer and/or server, no portion of the Program may be copied, in whole or in part by Licensee. Neither Licensee nor anyone acting for or on behalf of Licensee shall: (a) change, modify, reverse compile, make alterations, disassemble, or otherwise reverse engineer the Program or any portion thereof without the prior written consent of LABORERS.COM/UNIONQUALIFIED.COM; or (b) download or otherwise copy all or any material portion of any database accessible through or a part of the Program.
    2.3 The Program and associated documentation, concepts, ideas, systems, formats, lay-outs, and processes (collectively "LABORERS.COM/UNIONQUALIFIED.COM Confidential Information") are proprietary to LABORERS.COM/UNIONQUALIFED.COM and/or LABORERS.COM/UNIONQUALIFIED.COM's licensors. Title to and ownership of the Program and all components, and any applicable rights in trademarks, patents, copyrights and trade secrets of or related thereto or thereof, shall be and remain in LABORERS.COM/UNIONQUALIFIED.COM and/or its licensors. Licensee shall not do anything inconsistent with or contrary to LABORERS.COM/UNIONQUALIFIED.COM's or its licensors' title to and ownership of the Program.
    2.4 Licensee acknowledges and agrees that LABORERS.COM/UNIONQUALIFIED.COM Confidential Information is proprietary and confidential to LABORERS.COM/UNIONQUALIFIED.COM and its licensors, that Licensee shall keep it secret and confidential, and that Licensee shall not publicly disclose or use LABORERS.COM/UNIONQUALIFIED.COM Confidential Information, except in strict compliance with this Agreement and applicable documentation and instructions. Licensee shall use reasonable efforts to and shall employ adequate security measures to prevent any unauthorized disclosure of the LABORERS.COM/UNIONQUALIFIED.COM Confidential Information and shall immediately advise LABORERS.COM/UNIONQUALIFIED.COM of any information it has or it receives from time to time of any unauthorized disclosure of or access to any of the same. Licensee shall reasonably cooperate with and assist LABORERS.COM/UNIONQUALIFIED.COM in any reasonable efforts LABORERS.COM/UNIONQUALIFIED.COM chooses to pursue against any third party who may have obtained access to LABORERS.COM/UNIONQUALIFIED.COM Confidential Information through Licensee to protect LABORERS.COM/UNIONQUALIFIED.COM's interests in the Program.
    2.5 Licensee represents and warrants to LABORERS.COM/UNIONQUALIFIED.COM that (a) Licensee has the authority and power to enter into and comply with its obligations under this Agreement, (b) this Agreement is binding on Licensee, and (c) the restrictions placed upon Licensee by this Agreement are reasonable and necessary. Licensee indemnifies and agrees to defend and hold LABORERS.COM/UNIONQUALIFIED.COM harmless from and against any and all losses, claims, damages and expenses including, but not limited to, attorneys' and experts' fees, related to or which result from Licensee's breach of this Agreement, Licensee's use or disclosure of the Program or any of its components, any action relating to the Program or any of its components, or work performed by Licensee for a contractor who hired, retained or contacted Licensee using or through the Program, including, but not limited to, claims for breach of contract, personal injury, property damage, negligence, or other tort liability.

TERMINATION
    3.1 LABORERS.COM/UNIONQUALIFIED.COM may terminate this Agreement and Licensee's access to and use of the Program at any time, with or without cause by Licensee.
    3.2 Upon termination of this Agreement for any reason, LABORERS.COM/UNIONQUALIFIED.COM shall remove Licensee's profile from the Program and shall not post Licensee's profile or information in connection with the Program. LABORERS.COM/UNIONQUALIFIED.COM may retain Licensee's information in its internal, business records.
    3.3 Sections 1.4, 2.2 through 2.5 and 3 through 5 will survive termination of this Agreement.

DISCLAIMER OF WARRANTIES AND REPRESENTATIONS; LIMITATION OF LIABILITY
    4.1 LICENSEE ACKNOWLEDGES AND AGREES THAT LABORERS.COM/UNIONQUALIFIED.COM MAKES NO REPRESENTATIONS AND IS NOT RESPONSIBLE FOR ANY DECISION MADE OR ACTION TAKEN BY A CONTRACTOR WHICH MAY HIRE YOU OR CONTACT YOU USING OR THROUGH THIS PROGRAM.
    4.2 LICENSEE ACKNOWLEDGES AND AGREES THAT THE PROGRAM AND ALL COMPONENTS THEREOF, INCLUDING, BUT NOT LIMITED TO THE DATABASE, IS PROVIDED SOLELY ON AN "AS-IS" BASIS, THAT THE PROGRAM AND COMPONENTS THEREOF MAY CONTAIN ERRORS AND DEFECTS AND THAT LABORERS.COM/UNIONQUALIFIED.COM HAS NOT MADE ANY REPRESENTATIONS OR WARRANTIES REGARDING THE PROGRAM, ITS COMPONENTS, LICENSEE'S USE OR ACCESS THEREOF OR THERETO OR ANY INFORMATION RELATING THERETO. LABORERS.COM/UNIONQUALIFIED.COM DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AS WELL AS NONINFRINGEMENT.
    4.3 IN NO EVENT SHALL LABORERS.COM/UNIONQUALIFIED.COM OR ITS LICENSORS BE LIABLE TO LICENSEE OR ANY THIRD PARTY FOR: (a) DIRECT, SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES EVEN IF KNOWN TO LABORERS.COM/UNIONQUALIFIED.COM OR SUCH LICENSORS; (b) DAMAGES RESULTING FROM LOSS OF DATA, USE OR PROFITS; (c) DAMAGES RESULTING FROM LOST TIME, INACCURATE INPUT OR WORK DELAYS; (d) ANY OTHER DAMAGES RESULTING FROM LICENSEE'S ACCESS OR USE OF THE PROGRAM OR ANY COMPONENT THEREOF; OR (e) ANY CLAIMS, WHETHER IN CONTRACT OR TORT, THAT AROSE MORE THAN ONE YEAR PRIOR TO THE INSTITUTION OF SUIT THEREON. LICENSEE ACKNOWLEDGES AND AGREES THAT IT SHALL HAVE THE SOLE RESPONSIBILITY FOR ADEQUATE PROTECTION AND BACK-UP OF ITS PROGRAMMING, DATA, OR EQUIPMENT USED IN CONNECTION WITH THE PROGRAM, AND THAT LABORERS.COM/UNIONQUALIFIED.COM SHALL HAVE NO LIABILITY TO ANY LOSS OR DAMAGES RESULTING FROM LICENSEE'S FAILURE TO DO SO.

GENERAL
    5.1 This Agreement, as well as the Disclaimer and Notice provisions contained on this website, constitutes the entire Agreement between the parties respecting Licensee's access and use of the Program and associated documentation and supersedes all prior agreements or representations, oral or written, concerning the subject matter herein and may not be changed except by written amendment signed by both parties.
    5.2 The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of that right or any other right hereunder. Licensee may not assign any of its rights or delegate any of its obligations under this Agreement and any attempted assignment or delegation shall be null and void.
    5.3 This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois (other than the laws pertaining to the conflict or choice of laws), in all respects including all matters of validity, interpretation, construction and performance. Venue and personal jurisdiction for all actions related to this Agreement or any breach hereof shall be in the State Courts located in, and the Federal District Court covering, Cook County, Illinois. In addition to all other appropriate remedies, LABORERS.COM/UNIONQUALIFIED.COM shall be entitled to specific performance and injunctive or other equitable relief, without the necessity of posting a bond, as a remedy for any breach by Licensee of this Agreement.
    5.4 If any provision of this Agreement shall be illegal, invalid, or unenforceable, either in whole or in its application to a particular circumstance, in any jurisdiction: (a) such provision will be deemed amended to conform to applicable laws of such jurisdiction so as to be valid and enforceable or, if it cannot be so amended without materially altering the intention of LABORERS.COM/UNIONQUALIFIED.COM and Licensee, it will be stricken; (b) the validity, legality, and enforceability of such provision will not in any way be affected or impaired thereby in any other jurisdiction; and (c) the remainder of the Agreement will remain in full force and effect.
    5.5 International Union Laborers.com/Union Qualified.com is in no way affiliated with any Unions therefore all dues, training funds and other occurred union cost and contributions will be paid accordingly and distributed from the contractors, members to their affiliated unions. To further understand if hired by a contractor all working dues, pay dues, benefits and contributions will be paid directly to your local union and distribute accordingly and no contribution funds will be paid through International Union Laborers.com/Union Qualified.com.
